This year our members will be voting on bylaw changes that will address some significant cooperative issues. The mail-in, online and in-person ballots will all include the necessary summaries of changes in three categories. The following is the text that will be available during the voting process. You can also click the links below this text to view the entire bylaws with all changes in red/red-lined format or a shortened version of just the main sections that are affected. Proposed Bylaw Amendments

Capital Electric’s board of directors are proposing bylaw changes which will be effective January 1, 2024. We are requesting a vote on these proposed changes, which are represented between three major topics. The entire version of these proposed amendments is available on the Capital Electric web site (www.capitalelec.com) under the About Us/Bylaws section.

  1. Ceasing New Joint Memberships 

The Cooperative will not admit new joint members. Instead, similar rights (to vote, serve on a committee, serve on the Board of Directors, etc.) will be made available to spouses on individual memberships, except for the legal right to capital credits. Married persons occupying the same location who are joint members as of December 31, 2023, and remain joint members, are deemed to have a “joint membership” and may continue to be joint members.

  1. Director qualifications

The proposed amendment will codify the requirements of a member to be eligible to serve on the cooperative’s board of directors.

To be nominated, elected or serve as a director of the cooperative, a person must:

  1. Be a member of the cooperative, the spouse of an individual member or an individual who is part of a joint membership; and
  2. Be receiving power from the cooperative at the member’s primary residence located in the district in which the director represents or seeks to represent; and
  3. Remain in good standing under the articles, bylaws and policies of the cooperative as they may be amended; and
  4. Have been a member for at least 270 days.
